Quotations
Digilin Australia reserves the right to withdraw or amend any quotation prior to order acknowledgement. Quotations remain valid for 30 (thirty) days from date of issue, unless otherwise stated.
Prices
All prices exclude GST and Freight Charges, unless otherwise stated. Freight will be charged at the appropriate rate according to the method of dispatch requested. Where no particular method is specified, Digilin Australia will select the delivery method and reserves the right to increase the price in proportion of any increase in cost incurred between acceptance of order and delivery of goods through causes beyond our control.
Payment
Where account facilities are not approved, payment will be by cash / credit card (Bankcard, Mastercard, Visa) / EFT (Electronic Funds Transfer) / cheque (approval required), prior to the dispatch of the goods. A deposit with order will be required where an order contains custom items. Where account facilities have been approved, payment by EFT or cheque will be due 30 (thirty) days from the end of the month in which the invoice was generated, unless otherwise agreed in writing. Payment shall not be withheld on account of any unrelated claim. Digilin Australia reserves the right to suspend deliveries where payment of any invoice has not been made by the due date. Digilin Australia reserves the right to charge a finance charge of 1.2 % per month on any amounts outstanding 60 days after the end of the month of the invoice. Failure to pay in full within 60 (sixty) days may result in a credit account being closed. Digilin Australia reserves the right to cancel any contract due to late payment or non-payment of account. The value of goods specifically ordered and held in stock against any contract will be claimed in the event of late or non-payment of account.
In the case of default of payment as invoiced, the Purchaser will be held liable for all collection costs including but not limited to legal expenses and debt collection commissions, interest and any other charges incurred in obtaining payment.
Cancellation
Orders placed for Goods that are to be specifically manufactured by Digilin Australia shall not be cancelled without prior approval in writing. Digilin Australia shall be entitled to charge a cancellation fee, which shall reflect all costs incurred as a result of cancellation.
Delivery
The quoted date of delivery is an estimate only. Digilin Australia shall not be held liable for failure to deliver by the date of delivery quoted and the Purchaser shall make no claim against Digilin Australia for late delivery.
Returns
To the full extent permitted by law Digilin Australia will not accept return of Goods for Credit unless Digilin Australia authorises such return within seven working days of delivery of the Goods. A restocking fee may apply. The Purchaser shall be responsible for all freight costs incurred in the return of the Goods. In the event that Goods returned are not acceptable for credit, it is the responsibility of the Purchaser to arrange for the return or disposal of rejected Goods.
Warranty
Digilin Australia warrants to the Purchaser that, under proper use in accordance with Digilin Australia's specifications and instructions (if any), the Goods will be free from defects, solely due to faulty workmanship and/or materials, during a period of twelve months from delivery, to the extent that upon authorised return to Digilin Australia (freight pre-paid), if Digilin Australia, in its sole opinion, finds any part of the goods covered by this warranty to be defective, it shall repair such a part, or supply a replacement part, or reimburse the original purchase price of the Goods, provided that:
- the goods or any part thereof are not, and have not been, without Digilin Australia's consent, altered, modified, repaired or subjected to any technical attention by any person other than Digilin Australia's authorised representatives;
- this warranty does not cover damage during shipment, normal wear and tear, improper installation and maintenance, misuse or neglect or where the goods have been subjected to operating or environmental conditions in excess of the maximum value in the applicable application;
- Digilin Australia accepts no consequential damages or costs associated with the access, removal or reinstallation of equipment; and
- the provisions of this paragraph may, at Digilin Australia's option, be varied or replaced by specific warranty conditions issued in respect of particular products.
In the event that the Goods are deemed not to have been faulty, Digilin Australia shall be entitled to charge a fee, which shall reflect all costs incurred.
NO WARRANTY IS PROVIDED ON LAMPS.
Digilin LED, Fibre Optic, and Electronic products (excluding fibre optic cable and fibre optic lens heads and fibre optic fittings) are not to be installed in inaccessible locations, or locations that can only be accessed with difficulty using special access or elevated access equipment or special personnel, or in locations that due to site conditions or design may impede or prevent the inspection, maintenance, removal, or replacement of such equipment. Digilin LED, Fibre Optic Lightsources and Electronic products may contain lamps, complex electronic circuitry and components, and as with any electronic system, can be susceptible to failure due to external environmental factors, electronic component faults, and manufacturing defects. Since Digilin may not always be advised of how and where the equipment is to be installed, it remains the responsibility of the purchaser to ensure that adequate access for maintenance purposes is provided. Digilin reserves the right to refuse sale if these conditions are not met.
Title
Until the Purchaser has paid for the goods ordered, legal and equitable title of those goods remains with Digilin Australia, and the Purchaser shall merely be a bailee and fiduciary owner of the goods. Should the Purchaser fail to make payment to Digilin Australia as it falls due from time to time, the Purchaser gives Digilin Australia and/or its agents and/or servants, the right to enter upon the Purchaser's property and to take delivery of the goods delivered. Until Digilin Australia receives payment for the goods, Digilin Australia reserves the right to repossess the goods.
Upon delivery of the goods the Purchaser is permitted to sell them in the ordinary course of trade and will bear all risks in relation to those goods. Until the Purchaser has paid for the goods delivered, monies received by the Purchaser for the sale of those goods to the extent of the amount owed to Digilin Australia for those goods, shall be held in trust by the Purchaser for Digilin Australia.
Intellectual Property
The specifications and designs of the Goods including the copyright, design right or other intellectual property in them shall remain the property of Digilin Australia, unless otherwise agreed in writing.
